PROGRAM TERMS
Transparent expectations from the start.

01Relationship+
Your business participates as a non-exclusive independent reseller. Nothing in this agreement creates an employment, agency, partnership, franchise, or joint-venture relationship, and the reseller may not bind ShopCiravo or make commitments on its behalf.
02Promotion and customer conduct+
The reseller will describe ShopCiravo and its pricing accurately, use only approved brand materials, avoid misleading claims, and comply with applicable privacy, anti-spam, consumer-protection, and marketing requirements. Customer information may be used only for authorized referral, onboarding, and support activities.
03Commission eligibility+
The configured commission is 20% of net eligible subscription revenue actually received by ShopCiravo from an attributed customer. Recurring commission eligibility lasts for the first 12 months after customer attribution. A prepaid annual subscription produces one commission when that payment is received; monthly subscriptions may produce commissions on eligible payments received during the 12-month window.
04Adjustments and payouts+
Refunds, reversals, disputes, taxes, chargebacks, credits, and ineligible amounts may reduce or reverse commission. Commission records remain subject to validation and approval before payout. The reseller portal is the record of attributed customers, earned commission, adjustments, and completed payouts.
05Confidentiality and security+
Each party will protect confidential information and personal data using reasonable safeguards. The reseller must keep portal credentials secure, restrict access to authorized people, promptly report suspected misuse, and stop using or disclose confidential information when it is no longer required.
06Intellectual property+
ShopCiravo retains all rights in its software, services, trademarks, content, and brand assets. Permission to use approved materials is limited, revocable, non-transferable, and solely for authorized reseller activities.
07Suspension and termination+
ShopCiravo may suspend portal access or terminate reseller participation for misuse, material breach, fraud, legal or security risk, or misleading sales activity. Obligations concerning confidentiality, intellectual property, payment adjustments, and existing records survive where applicable.
08Electronic acceptance+
By accepting, the signer confirms they have authority to accept for the named reseller, have read and agree to this agreement, and intend the electronic acceptance record to document that consent. A new acceptance may be required when the agreement version changes.
Important program conditions
Commission is available only for properly attributed customers and eligible payments actually received by ShopCiravo. Approval is not guaranteed. Partner access, authority, rates and program availability may be reviewed under the signed agreement. The electronically accepted portal agreement—not this marketing summary—is the controlling program record.
